What's in these terms?

These terms tell you the rules for using our website www.enseuk.co.uk and any databases we make available to our buying group through it (our site). If you are a supplier or distributor member of our buying group, the terms of your existing agreements with us also apply. We are a limited company providing services to businesses and not consumers. This site is only for use by businesses. By using this site, you confirm you are a business.

• Your agreemets with us where you are a member of our buying group (i.e. your management and marketing agreement (for a supplier or distributor as applicable) and any additional confidentiality agreement (where relevant)) ("Buying Group Agreements").

We may make changes to our site

We may update and change our site from time to time to reflect changes to our services, our members' needs and our business priorities.

We may suspend or withdraw our site

Our website is made available free of charge. Any databases which require a login to access are provided as part of the services we provide to you under our Buying Group Agreements.

We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

You must keep your account details safe

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at info@enseuk.co.uk

How you may use material and information on our site or available through our site

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it and databases available through it. Those works are protected by copyright laws, database right and treaties around the world. All such rights are reserved.

The information and material provided on this site is made available for use by you only as follows:

• (Where you are not already a member of our buying group) to decide whether you want to participate in our buying group and your use of the site is limited to that purpose
• (When you join our buying group) to obtain information about the buying group and to communicate with members of the buying group as follows:
  • Where you are a distributor, to contact suppliers in order to negotiate for and procure goods and services from them through the buying group
  • Where you are a supplier, to contact distributors in order to market and supply your goods and services to distributors through the buying group

You agree that where you are a member of our buying group you will not use any contact information (such as but not limited to name, telephone number and email address) made available through the site for any purpose other than your participation in the buying group. You will also comply with applicable law in using the information. You agree not to use the contact information for any other purpose and the sale, extraction or distribution of the information to any third party is strictly forbidden.

If you print off, copy, extract, use or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made, without prejudice to any other rights or remedies we may have under our Buying Group Agreements or otherwise to claim damages, terminate our Buying Group Agreements or pursue any other legal or equitable remedy.

Accuracy of information on this site

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date. Please contact us at info@enseuk.co.uk if information you have supplied to us and which we make available through the site needs updating.

We are not responsible for websites we link to

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

Information you provide via the site

We may use any information you provide via the site for the purposes of managing our buying group and you confirm you have the right to provide this information to us for that purpose.

Our responsibility for loss or damage suffered by you

• We do not exclude or limit in any way our liability to you where it would be unlawful to do so.
• We exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it, to the fullest extent permitted by law.
• We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
  • use of, or inability to use, our site; or
  • use of or reliance on any content displayed on or made available via our site.
• In particular, we will not be liable for:

  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

We are not responsible for viruses and you must not introduce them

We do not guarantee that our site will be secure or free from bugs or viruses.
